Terms of Service

These Terms of Service ("Terms") govern your access to and use of brandonlpickett.com and its client-facing tools — the meeting scheduler, client portal, proposals, contracts, and invoices (together, the "Service") — operated by Brandon L Pickett, LLC ("we," "us"). By submitting the contact form, booking a meeting, or accepting a proposal or contract through the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
Brandon L Pickett, LLC provides product, design, and web development services. The Service is a set of tools used to schedule meetings, share proposals and contracts, and manage invoicing for that work — it is not itself the deliverable, and separate project-specific terms in a signed proposal or contract govern the scope and delivery of any engagement.
2. Accounts and Client Portal
Access to the client portal is provided to active clients. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.
3. Proposals, Contracts, and Billing
A proposal becomes a binding engagement only once accepted through the Service or by signed contract. Invoices are billed according to the payment terms in your contract and processed through Stripe. Late or failed payments may pause active work, as described in your contract.
4. Acceptable Use
You agree not to use the Service to:
- Submit content that is unlawful, defamatory, fraudulent, or infringes a third party's intellectual property or other rights;
- Interfere with or disrupt the integrity or performance of the Service;
- Attempt to gain unauthorized access to the Service or its related systems; or
- Use the Service in violation of any applicable law.
We may suspend or terminate access for accounts that violate this section.
5. Intellectual Property
Ownership and license of project deliverables are governed by your signed proposal or contract, not by these Terms. The Service itself — including its software, design, and branding — is owned by Brandon L Pickett, LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or underlying technology beyond what's needed to use the Service as intended.
6. Third-Party Services
The Service relies on and integrates with third-party providers (including payment processing and email delivery). We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them is subject to their own terms.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRANDON L PICKETT, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. THIS LIMITATION DOES NOT OVERRIDE ANY CONFLICTING TERM IN A SIGNED PROJECT CONTRACT, WHICH CONTROLS FOR THAT ENGAGEMENT.
9. Indemnification
You agree to indemnify and hold Brandon L Pickett, LLC harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
10. Termination
We may suspend or terminate your access to the Service if you violate these Terms, with notice where reasonably practicable. Termination of Service access does not by itself terminate a separately signed project contract, which is governed by its own terms.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Colorado, and you consent to personal jurisdiction there.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
